I had a domain of single W2K server, I recently added a Win 2003 server to
same domain. What's the process for bringing down the w2k permanently.

TIA

You might want to start with the migration guides and other info at
"Upgrading from Windows 2000 Server to Windows Server 2003"
http://www.microsoft.com/windowsserver2003/upgrading/w2k/default.mspx

In particular this article might be useful:

Re: Retire Windows 2000 Server

Hello,

I assume both are now DC.

migrate the 5 FSMO roles to the 2K3
Make the 2K3 Global catalog
make the 2K3 DNS (if not already), and change DHCP and static setup to make
this 2K3 primary dns server on all domain members stations & servers.

then you will be able to demote the W2K

Re: Retire Windows 2000 Server

Thanks Mathieu. Yes, they both are DC. Is there a step by step article for
mentioned processes?

Re: Retire Windows 2000 Server

about transfering fsmo roles:
Using Ntdsutil.exe to transfer or seize FSMO roles to a domain controller

Only seize roles if the DC holding them is off line and won't *EVER* be
returned on line....
