To change to 32 bit Ultimate from Dell OEM 64 bit ultimate?
Can i use the upgrade path and instal over the top of the existing 64 bit
version or do I need to reformat the HD and do a green install?

Thanks

Clean install, I'm afraid. You can use Windows Easy Transfer to keep some of
your settings. And, just a warning. The Dell OEM (as with all OEM) license
is for 64-bit. Or 32-bit. But not transferable between them. Retail is
switchable.

Microsoft seems to have gone out of their way in providing OEM the swap
capability, IF your OEM, Dell in this case, will bother assisting you.
Numerous posters in the Vista groups said their, mostly smaller
manufacturers contacted Microsoft on their behalf and provided the other
version, free of charge. IMHO Microsoft goes out of their way to help
customers if they are honest and just ask.

yes. The key is Dell needs to be willing, I suspect. So far, what I'm seeing
is agreeing with you- MS is being quite willing on this one, even though the
OEM license is significantly more restrictive than the retail one.
