No: Microsoft never made any of its operating
systems available free by download. You have
to buy them.

No, you must purchase WinXP.

How to prepare to upgrade Windows 98 or Windows Millennium Edition to
Windows XP:

Re: How do i upgrade from Win98se to WinXp?

Microsoft offer a free "upgrade advisor" to help determine whether your
hardware and programs will be compatible with XP, and to suggest changes
that will be required to make them work. Download and run it before
purchasing XP.

http://www.microsoft.com/windowsxp/pro/upgrading/advisor.mspx

A few years ago I successfully upgraded an Pentium II 450 MHz PC with 384
Meg RAM to XP. XP was slower than 98 (first edition), but much more stable.
XP also supported firewire and USB 2.0, which I wanted.

But, here are a couple of things that I had to do:

1. Uninstall all antivirus and system-level software (e.g., Norton or
McAfee products). Then re-install XP-compatible verisons after installing
XP. In my case the version of Nortom\n I was using was XP compatible, but I
still had to uninstall/reinstall, since Norton senses the operating system
and installs different files for 98 vs XP.

2. Uninstall all CD/DVD writing software (e.g., Nero, Easy CD Creator).
Then, re-install XP-compatible versions after installing XP.

3. If you use Outlook from Office 97, it will not work under XP. But, the
rest of Office 97 will work under XP, so long as service pack 2 for Office
97 is applied. This is distinct from SP-2 fro XP. Office XP and Office
2003 work under XP.

4. XP requires several Gig of free space to install, more for backups of
key files, more for temp files, more for memory swa[, etc. Plan on at least
4 Gig for XP itself.

5. XP may not automatically support ISA cards, the way it does PCI and AGP.
If you have any ISA-add-in cards, check with the manufacturer for XP
drivers.

6. XP is very good about auto-detecting USB and firewire devices, like pen
drives, external hard drives, external CD/DVD drives, cameras, scanners,
etc. But, any special software that came with digital image or video
devices may need to be updated/replaced (e.g., scanner).

7. In many cases XP will load a default driver, which is good enough to
obtain basic functions from things like printers and scanners. But, if you
want more, you will need to get updated drivers/software form the
manufacture's web site, if they have any to offer.

8. Most digital cameras are trteated like small hard drives in XP. They
auto-mount and can be accessed via windows explorer.

Since your hardware is fairly old, if you decide to install XP, I suggest
that you might might want to invest in the retail-upgrade version. This can
be transferred to newer hardware in the future, so long as you still have
proof of 98SE ownership (e.g., 98SE CDROM). The alternative of an OEM
upgrade will be cheaper, but it can not be tranferred to other hardware,
such as would be required if the motherboard dies.
